Agreement for independent WorkSETX marketplace providers.
Effective August 18, 2026 · Version 2026.08.18. This agreement governs a provider’s participation in the WorkSETX marketplace.
Independent business relationship
Each provider participates as an independent business or service provider. Using WorkSETX does not make a provider an employee, agent, partner, joint venturer, representative, franchisee, or subcontractor of WorkSETX. The provider controls the manner and means of its work and independently determines its pricing, quotes, estimates, customer contracts, scheduling, staffing, equipment, materials, and methods.
Provider business responsibilities
The provider is solely responsible for its employees and subcontractors and for applicable wages, payroll and employment taxes, benefits, workers’ compensation, unemployment obligations, insurance, and other employment duties. The provider must maintain licenses, registrations, permits, certifications, and insurance required for the services it offers and comply with applicable federal, Texas, and local law.
Services, safety, and customer agreements
The provider is responsible for workplace and jobsite safety, workmanship, and fulfillment of agreements made with customers. Contracts for scope, price, payment, warranties, scheduling, materials, permits, and other job-specific terms are between the provider and customer unless WorkSETX expressly signs a separate written agreement stating otherwise.
Accurate information and marketplace conduct
The provider must give truthful, accurate information to WorkSETX and customers; keep its profile, contact, licensing, insurance, and qualification information reasonably current; and never claim to be employed by, owned by, or acting as an agent of WorkSETX. The provider must cooperate reasonably with legitimate customer complaints or marketplace investigations.
No guaranteed opportunities
WorkSETX does not guarantee leads, customers, revenue, project awards, work volume, provider availability, or that any customer will hire a provider. A provider remains free to accept or decline an opportunity, subject to commitments it independently makes to a customer.
Suspension or removal
WorkSETX may pause, suspend, or remove a provider for fraud, misrepresentation, unsafe behavior, repeated complaints, violation of this agreement, or conduct creating unreasonable risk to marketplace users or WorkSETX. This does not make WorkSETX the supervisor of the provider’s work.
INDEMNIFICATION
To the maximum extent permitted by applicable law, the provider will defend, indemnify, and hold harmless WorkSETX and its owners, officers, and representatives from third-party claims, damages, losses, liabilities, judgments, penalties, and reasonable legal costs to the extent arising from the provider’s own services; acts or omissions; employees or subcontractors; violation of law; property damage or bodily injury legally attributable to the provider; misrepresentation; or breach of this Provider Agreement. This section does not require indemnification for liability that cannot lawfully be shifted or for WorkSETX’s own liability to the extent applicable law prohibits shifting it.
Disputes and complaints
Providers and customers are primarily responsible for resolving disputes arising from their service contracts. WorkSETX may facilitate communication or investigate marketplace complaints but is not obligated to adjudicate private contractual disputes.
Electronic acceptance and changes
Checking the acceptance box and submitting an application or later acceptance form is an electronic signature and agreement to the version shown. WorkSETX may update this agreement prospectively and may require acceptance of a new version before future marketplace participation. Prior acceptance records remain associated with the version accepted.
Governing law and standard terms
This agreement is governed by applicable Texas law, subject to rights and laws that cannot be waived. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. This is the entire agreement concerning provider participation in the marketplace, but it does not replace service contracts between providers and customers. Provisions intended by their nature to survive, including responsibility, indemnification, dispute, and recordkeeping provisions, survive termination.
